1. Introduction
Welcome to Profer ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Profer platform, including our website at myprofer.com, mobile applications, and all related services (collectively, the "Platform").
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform. Please read these Terms carefully before using our services.
2. Eligibility
To use the Platform, you must be at least eighteen (18) years of age or the age of majority in your jurisdiction, whichever is greater. By using the Platform, you represent and warrant that you meet this eligibility requirement.
Users between the ages of sixteen (16) and eighteen (18) may use the Platform with verified parental or guardian consent. Profer reserves the right to request proof of age or parental consent at any time.
Professors applying to the Platform must hold a terminal or advanced degree (e.g., Ph.D., Ed.D., J.D., M.D., or equivalent) from an accredited institution and must submit to Profer's credentialing and vetting process before being approved to teach.
3. Account Registration
To access certain features of the Platform, you must create an account. When registering, you agree to provide accurate, current, and complete information and to update such information as necessary to maintain its accuracy.
You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify Profer immediately of any unauthorized use of your account or any other breach of security.
Profer reserves the right to suspend or terminate any account that provides false or misleading information, violates these Terms, or engages in conduct that is harmful to other users or the Platform.
4. Course Enrollment
Profer offers courses in two enrollment types: Credit and Audit. Credit enrollment entitles the student to receive a grade, academic credit (subject to third-party accreditation agreements), and a record on their Profer transcript. Audit enrollment allows participation in course activities without grades or credit.
By enrolling in a course, you agree to abide by the course syllabus, the professor's stated policies, and all applicable academic integrity standards. Enrollment is subject to availability, and Profer reserves the right to cap enrollment at the professor's discretion.
Profer does not guarantee that any particular course will be offered in any given term. Course schedules, content, and availability are subject to change at the discretion of the professor and Profer administration.
5. Payments & Refunds
Course fees are displayed on each course listing prior to enrollment. All payments are processed through our third-party payment processor, Stripe, and are subject to Stripe's terms of service and privacy policy.
Refund requests must be submitted within fourteen (14) calendar days of enrollment, provided the course has not yet commenced or the student has attended no more than one (1) session. After this period, refunds are granted solely at Profer's discretion.
Profer reserves the right to modify course pricing at any time. Price changes will not affect enrollments that have already been confirmed and paid. All fees are quoted in U.S. dollars unless otherwise specified.
6. Intellectual Property
All content on the Platform, including but not limited to text, graphics, logos, icons, images, audio clips, and software, is the property of Profer or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws.
Course materials, lectures, syllabi, and other instructional content created by professors remain the intellectual property of the respective professors unless otherwise agreed in writing. Students may not record, reproduce, distribute, or publicly display any course content without the express written consent of the professor and Profer.
Students retain ownership of original work they submit as part of course assignments. By submitting work through the Platform, students grant Profer a limited, non-exclusive license to store and process such work for academic and platform administration purposes.
7. Professor Responsibilities
Professors on the Platform operate as independent contractors, not employees of Profer. Professors are responsible for designing, delivering, and grading their courses in accordance with Profer's quality standards and the commitments outlined in their approved syllabi.
Professors agree to maintain the highest standards of academic integrity, provide timely feedback to students, hold scheduled class sessions, and communicate any changes to course content or schedule in a timely manner.
Professors must not engage in discriminatory conduct, harassment, or any behavior that creates a hostile learning environment. Violations may result in immediate suspension or removal from the Platform.
8. Student Responsibilities
Students are expected to engage in their coursework with diligence and academic honesty. Plagiarism, cheating, unauthorized collaboration, and other forms of academic dishonesty are strictly prohibited and may result in a failing grade, course removal, or account termination.
Students must attend scheduled live sessions and complete assignments by stated deadlines. Students are responsible for ensuring they have the necessary technology, including a reliable internet connection and a device capable of running Zoom, to participate in live course sessions.
Students agree to treat professors, fellow students, and Profer staff with respect and professionalism at all times. Disruptive, threatening, or abusive behavior will not be tolerated.
9. Privacy
Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROFER AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM.
Profer does not guarantee the accuracy, completeness, or usefulness of any course content, nor does it guarantee that credits earned through the Platform will be accepted by any particular institution. The transferability of academic credits is determined solely by the receiving institution.
In no event shall Profer's total liability to you for all claims arising out of or related to these Terms or your use of the Platform exceed the amount you paid to Profer in the twelve (12) months preceding the event giving rise to the liability.
11. Dispute Resolution
Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules.
The arbitration shall take place in Nashville, Tennessee, unless otherwise agreed by the parties. The arbitrator's award shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
12. Changes to Terms
Profer reserves the right to modify these Terms at any time. We will notify users of material changes by posting the revised Terms on the Platform and updating the "Effective Date" at the top of this page. We may also send notice via email for significant changes.
Your continued use of the Platform after the posting of revised Terms constitutes your acceptance of such changes. If you do not agree to the revised Terms, you must discontinue your use of the Platform.
